ZeFi Ecommerce LLC Products and Services – Terms and Conditions of Sale (the “Terms of Sale”) are offered to you by ZeFi Agency and its affiliates (“we”, “us” or “our”) and govern all sales and purchases of products (including hardware and software) and/or services offered by us (collectively, the “Products”) on ZeFi Ecommerce LLC’s online store at zefiagency.io . The information contained in the Terms of Sale and the details contained in this online store do not constitute an offer to sell but rather an invitation to deal. No contract for products will exist between you and us until we “ZeFi”, accept your order. If we do not accept your offer and funds have already been deducted from your account, they will be refunded.

You also agree to provide us with correct and accurate e-mail, postal and/or other contact information and acknowledge that we may use such contact information to contact you if necessary.

If you do not provide us with all the information we need, we may not be able to fulfill your order.

By placing an order through the online store, you warrant that you are at least 18 years old and that you are legally capable of entering into binding contracts.

4. PRODUCT DESCRIPTIONS AND SUPPORT

We strive to be as accurate as possible in the descriptions of our products and support services. However, we do not warrant that the descriptions of products and/or support services or any other content on the ZeFi Agency web store are accurate, complete, reliable, current or error-free. If you purchase a product through the ZeFi Agency, and believe that it is not as described, or if you believe that you have not received support for your product as provided in the One-Month Warranty, your sole remedy is to receive a refund, under the condition your reason is deemed reasonable. 

5. PRODUCT AVAILABILITY

All product orders are subject to availability and in this regard, in the event of supply difficulties or because Products are no longer in stock, we reserve the right to provide you with information on substitute Products of equal or greater quality and value that you may order. If you do not wish to order these substitute products, we will refund any money you have paid.

We reserve the right to remove any product from this website at any time and/or to remove or change any material or content on this website. While we do our best to always process all orders, there may be exceptional circumstances that require us to refuse to process an order after sending you an order confirmation, which we reserve the right to do at any time in our sole discretion.

We will not be liable to you or any other third party if we remove any product from this webstore, whether or not it has been sold, if we remove or alter any material or content from this webstore, or if we refuse to process or accept an order after sending you an order confirmation.

We may keep records of all orders, acceptances and any related documents for a reasonable period of time after acceptance.

6. CANCELLATION OF ORDERS

We will cancel your order if: (i) we are unable to accept your order within a reasonable period of time from the date of your order (excluding pre-orders); (ii) payment for your order is incomplete. If we cancel your order, we will refund any previous payment you have made for that product.

7. PRICE AND PAYMENT TERMS

While we take great care to ensure that all prices listed on our online store are accurate, errors can occur. If we discover an error in the price of one or more products you have ordered, we will notify you as soon as possible and give you the opportunity to reconfirm the order at the correct price or cancel it. If we are unable to contact you, the order will be considered cancelled and if you have already paid for the product(s), you will receive a full refund.

We are not obligated to sell you the product(s) at the incorrect (lower) price (even after sending you an order confirmation) if the pricing error is an obvious typographical or arithmetic inaccuracy and you could have reasonably recognized it as such.

We reserve the right to refuse orders for bulk or high value purchases and to change pricing and availability information without notice.

We reserve the right, at any time prior to our acceptance, to notify you of: (i) any revision to the prices of the Products to reflect any change in the cost of the Products. Such changes include, but are not limited to, changes in tax rate or tax and any changes in applicable exchange rates; and/or (ii) any changes to the description of the Products. If you choose to proceed with your order, you acknowledge and agree that the Product will be sold to you in accordance with the revised price and/or description.

The countries to which we can deliver the Products are indicated in the ZeFi Agency Web Page. We reserve the right to change this list of countries at any time and will not be liable to you for any such change in the list of countries or the imposition of any new country requirement.

Unless otherwise specified, all prices for products listed on the zefiagency.io online store are exclusive of: (i) shipping charges (unless you receive free shipping in accordance with the terms set forth on the zefiagency.io website); (ii) sales taxes or duties, customs charges (including, but not limited to, customs fees), import duties and taxes (if any); and (iii) cross-border charges (collectively, the “Additional Charges”). You are responsible for these Additional Costs.

Full payment must be made prior to our acceptance using the payment methods provided by our ZeFi Agency Team. 

You may not deduct payment by way of counterclaim or offset without our prior written consent. We are not responsible for billing errors unless you notify us within fifteen (15) business days of the date of acceptance. In the event that such a billing error is solely attributable to us, we will cancel your order and/or refund any previous payment you have made for that product. We will also authorize a new order for that product.

8. SOFTWARE

All software (including preloaded software contained in the hardware) is provided subject to the end user license agreement for such software. You agree to be bound by this end user license agreement.

9. LIMITATION OF LIABILITY

IN NO EVENT SHALL ZeFi Ecommerce LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SALE, EVEN IF S ZeFi Ecommerce LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ZeFi Ecommerce LLC’S AGGREGATE LIABILITY (WHETHER FOR BREACH OF CONTRACT, TORT OR ANY OTHER LEGAL THEORY) EXCEED THE AMOUNT PAID BY YOU FOR A PRODUCT THAT IS MOST CLOSELY RELATED TO YOUR DAMAGES. The foregoing limitations shall apply even if any warranty or remedy provided under this Agreement fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages or the other limitations set forth above, so the above limitations or exclusions may not apply to you.

Without prejudice to the foregoing and to the fullest extent permitted by law, we shall have no liability to you if the Products infringe or are alleged to infringe the rights (including intellectual property rights) of any third party.

10. LICENSES AND EXPORT LAWS

You are responsible for obtaining (at your own expense) any license or consent from any governmental (or other) authority necessary to purchase, transport or use the Products. You agree to provide proof of such license or consent upon our request. 

You agree to comply with any export control laws or regulations applicable to the purchase, transportation or use of the Products.

11. YOUR REPRESENTATIONS

You shall maintain and promptly update your account information stored with us and you shall protect such information (including, but not limited to, your user name and password) from unauthorized access.

You represent to us that all information provided by you in your order is current and sufficient for us to process your order.

You will not assume any warranty, undertaking or obligation on our behalf without our express prior written consent.

When you make an offer to purchase a Product, we collect or receive your Personal Information or Non-Identifying Information (as those terms are defined in our Privacy Policy, available on our site). Personal Information and Non-Identifying Information are processed in accordance with our Privacy Policy. By making an offer to purchase a Product, you agree and consent to our Privacy Policy, which we may update from time to time.

You agree that the laws of United States, without regard to principles of conflict of laws, will govern these Terms of Sale and any dispute that may arise between you and ZeFi Ecommerce LLC in connection with your use of the ZeFi Agency Web Page and these Terms of Sale.

If you are a consumer located in the European Union, you may file a claim with the competent court in the country in which you reside.

15. FORCE MAJEURE

ZeFi Ecommerce LLC shall not be liable to you, and shall not be liable for breach of contract, for any loss or damage which may be suffered as a direct or indirect result of ZeFi Ecommerce LLC being prevented, hindered or delayed in performing its obligations by circumstances beyond its control, including (but not limited to) any act of God, war, riot, civil commotion, governmental action, explosion, fire, flood, storm, accident, strike, lockout, trade or labor dispute, plant or machinery failure, interruption of power or materials supply. In this case, ZeFi Ecommerce LLC can decide to cancel your order and to refund you the payments made.

16. COMPLETENESS OF THE AGREEMENT

You acknowledge that these Terms and Conditions of Sale supersede all prior agreements or understandings, oral or written, express or implied, between ZeFi Ecommerce LLC and you with respect to your ability to purchase goods or services from the ZeFi Ecommerce LLC online store. These Terms and Conditions of Sale supersede any other terms and conditions contained or referenced in other agreements between the parties or implied by trade, custom or usage. Any contrary condition is excluded to the fullest extent permitted by law.

17. TRANSLATION

These terms of sale may be translated into any other language. However, in the event of any inconsistency between the English version and the translated versions, the English version shall prevail at all times and take precedence.
